Terms of Services

These Terms of Services ("Terms") are a binding agreement between SERP.VISION ("Provider", "we") and you or the entity you represent ("Customer", "you"). By accessing or using our website or services, you accept and agree to these Terms.

Acceptance of Terms

By starting a trial, creating an account, or clicking to accept, you acknowledge these Terms and our Privacy Policy and agree to be legally bound by them.

Definitions

"Aggregated Statistics" means anonymized data related to your use of the Services. "Authorized Users" means your employees or contractors authorized to use the Services. "Customer Content" means information or materials you submit via the Services. "Provider IP" means the Services and all related intellectual property.

Access and Use

Subject to these Terms and payment of applicable fees (if any), Provider grants you a non-exclusive, non-transferable right to access and use the Services for your internal business purposes. Access is generally available 24/7 except during scheduled or emergency maintenance.

Use of Service

You agree to use the Services only for lawful purposes and in accordance with these Terms and any documentation or usage limits.

Use Restrictions

You shall not: (i) copy, modify, or create derivative works of the Services; (ii) rent, lease, sell, sublicense, or otherwise make the Services available to third parties; (iii) reverse engineer, decompile, or attempt to derive the source code; (iv) remove or alter proprietary notices; (v) use the Services to infringe the rights of others or violate any law.

Suspension

We may suspend access, in whole or in part, if we reasonably determine there is a security risk, fraudulent or unlawful activity, material breach of these Terms, or non-payment. We will restore access when the issue is resolved.

Customer Content

You are solely responsible for Customer Content and represent that you have all necessary rights to submit it. You grant us a non-exclusive right to process Customer Content to provide the Services. We may use Aggregated Statistics for service improvement and analytics, without identifying you.

Provider IP

All rights, title, and interest in and to the Services, documentation, and any data derived from operation of the Services (excluding Customer Content) are and remain with Provider and its licensors. No rights are granted except as expressly set forth in these Terms.

Provider API

If we provide an API, your use must comply with our documentation, rate limits, and security requirements. You must keep credentials confidential and must not scrape, circumvent, or misuse the API. We may revoke or rotate keys at any time to protect the Services.

Accounts

You are responsible for maintaining the confidentiality of your account and password and for all activities under your account. Notify us immediately of any unauthorized use.

Intellectual Property

All content is the property of SERP.VISION or its licensors and is protected by applicable laws. You may use the Services and site content only as permitted by these Terms.

Privacy

Your use of the Services is subject to our Privacy Policy. We process personal data as described therein and in accordance with the GDPR and applicable Polish law.

Limitation of Liability

To the maximum extent permitted by Polish law, Provider is not liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, or data. Provider's aggregate liability arising out of or related to the Services shall not exceed the amounts paid by you for the Services in the 12 months preceding the event giving rise to liability.

Indemnification

You will defend, indemnify, and hold harmless Provider from and against all claims, losses, and expenses arising from Customer Content or your misuse of the Services or violation of these Terms.

Termination

We may suspend or terminate access immediately for material breach. You may terminate by ceasing use of the Services. Upon termination, your right to use the Services ends and certain provisions survive (including ownership, disclaimers, limitations of liability, and indemnification).

Governing Law

These Terms are governed by the laws of the Republic of Poland, without regard to conflict of laws principles. The competent courts of Warsaw, Poland shall have exclusive jurisdiction.

Changes

We may update these Terms from time to time. Continued use constitutes acceptance of the changes.
